These Terms of Use (“Terms”) govern your access to and use of the websites, products, services, content, software, materials, subscriptions, and related offerings made available by Epoch Manna, LLC (“Epoch Manna,” “we,” “our,” or “us”).

These Terms include a binding arbitration provision, a class action waiver, and important terms regarding subscriptions, trial conversion, cancellation, and refunds.

By accessing or using our website or any Epoch Manna offering, you agree to be bound by these Terms. If you do not agree, do not access or use our services.

Scope of These Terms

These Terms apply to:

  • the Epoch Manna website and related pages;
  • Epoch Intelligence content and related informational materials;
  • EpochSpecs;
  • Epoch Fulcrum and related enterprise, pilot, or advisory offerings;
  • Intelligence Briefings, newsletters, and related publications;
  • any other Epoch Manna service, tool, product, or offering that links to or references these Terms.

Certain products, pilots, paid offerings, enterprise engagements, or custom services may also be governed by separate or supplemental terms, order forms, statements of work, implementation documents, pilot agreements, master service agreements, or other written contracts. Where those additional terms apply, they supplement these Terms and control to the extent of a conflict.

Eligibility and Authorized Use

You may use our services only if you are legally capable of entering into a binding agreement and are authorized to do so on your own behalf or on behalf of the entity you represent.

If you use our services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

Account Access and Security

Some services may require an account, subscription, email verification, access credentials, or other access controls. You are responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account or access path.

You must promptly notify us of any suspected unauthorized access, credential compromise, misuse, or security concern.

Subscriptions, Billing, Trials, and Payment

Certain Epoch Manna offerings are available on a paid, subscription, pilot, trial, or recurring billing basis. By purchasing, subscribing to, or starting a trial for a paid offering, you agree to pay all applicable fees and charges presented at checkout or otherwise agreed in writing.

If a service is offered as a recurring subscription, your subscription will renew automatically unless you cancel before the next renewal date using the applicable cancellation method.

If a service includes a trial period, you may cancel before the trial ends to avoid being charged. If you do not cancel before the end of the trial period, your payment method will be charged automatically for the applicable subscription fee and your paid subscription term will begin immediately after the trial ends.

You authorize our payment processor to charge the payment method you provide for applicable fees, taxes, renewals, trial conversions, and related charges associated with your purchase or subscription.

We may use third-party payment processors, including Stripe, to process payments, manage subscriptions, and support billing operations. Stripe may govern portions of the billing and customer self-service workflow, including subscription management and cancellation, but Epoch Manna remains responsible for the services and offerings you purchase from us.

We reserve the right to change pricing, subscription structure, or billing terms prospectively. Material pricing or billing changes will be communicated in advance where required.

Cancellation, Non-Renewal, and Refunds

You may cancel an eligible self-service subscription at any time through the Stripe customer self-service portal or another cancellation method we make available for the applicable offering.

Cancellation stops future renewal only. If you cancel, you will retain access through the end of your current paid subscription term, and your subscription will not renew after that term expires.

All fees are non-refundable unless otherwise stated by Epoch Manna in writing or required by law. This includes, without limitation, partial subscription periods, unused time remaining in a paid term, and charges incurred after a trial converts to a paid subscription.

Certain enterprise, pilot, advisory, or custom engagements may have separate termination rights, notice requirements, early termination fees, or other contractual remedies stated in the governing written agreement.

Access Suspension and Termination

We may suspend, restrict, or terminate your access at any time if we reasonably believe:

  • you have violated these Terms;
  • your use creates legal, security, operational, reputational, or integrity risk;
  • payment is overdue, reversed, disputed, or declined;
  • continued access is no longer commercially, technically, or legally supportable.

Acceptable Use

You may not use Epoch Manna services:

  • for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes;
  • to infringe, misappropriate, or violate the rights of others;
  • to upload or submit information you are not authorized to provide;
  • to reverse engineer, probe, scrape, interfere with, overload, disrupt, or bypass system controls;
  • to attempt to obtain source code, internal logic, proprietary methods, hidden prompts, model instructions, or confidential architecture details;
  • to use outputs as a substitute for regulated professional advice where such reliance would be inappropriate;
  • to test, exploit, or weaponize the services for security, surveillance, competitive extraction, or harmful automation without written authorization.

User Inputs and Responsibility

You are responsible for the content, instructions, data, materials, and other information you submit to our services (“Inputs”). You represent and warrant that you have all rights, permissions, and authority necessary to provide your Inputs and to authorize our use of them to operate the service.

You must not submit sensitive personal information, regulated information, export-controlled information, or third-party confidential material unless the specific service is intended for that use and you are authorized to provide it.

Outputs and Service Results

Certain Epoch Manna services generate outputs, documents, recommendations, summaries, structures, or other deliverables based on your Inputs and service logic (“Outputs”). Outputs may vary based on the information provided, the context of use, service limits, and evolving product behavior.

Unless expressly stated otherwise in a separate written agreement, Outputs are provided for informational, operational, planning, or workflow support purposes only and may require human review, validation, refinement, and context-specific judgment before use.

Intellectual Property

Epoch Manna and its licensors retain all right, title, and interest in and to the website, services, software, systems, branding, trade names, designs, workflows, content, documentation, methods, models, architecture, proprietary terminology, and related materials, including all associated intellectual property rights.

These Terms do not grant you ownership of any Epoch Manna intellectual property. Except as expressly permitted, you may not copy, reproduce, distribute, modify, create derivative works from, display, republish, transmit, sell, license, or exploit Epoch Manna materials without prior written permission.

Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding our services, we may use them without restriction or compensation to the extent permitted by law, and without obligation to you.

Privacy

Your use of our services is also subject to our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy concerning privacy rights or disclosures, the more specific applicable provision controls.

No Professional Advice

Epoch Manna services do not provide legal, tax, accounting, medical, investment, compliance certification, underwriting approval, regulatory approval, or other professional advice unless expressly stated in a separate written engagement signed by Epoch Manna.

You are responsible for obtaining any professional review, legal review, regulatory validation, technical validation, or domain-specific approval appropriate to your use case.

Disclaimers

To the maximum extent permitted by law, the website and services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, or uninterrupted use.

We do not warrant that the services will be error-free, uninterrupted, perfectly secure, or suitable for every use case, or that outputs will be complete, correct, or sufficient for your particular objectives without additional review.

Limitation of Liability

To the maximum extent permitted by law, Epoch Manna and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for any loss of data, business interruption, reputational harm, or procurement of substitute services arising out of or related to your use of the services.

To the maximum extent permitted by law, Epoch Manna’s total liability for any claim arising out of or relating to these Terms or the services will not exceed the greater of: (a) the amount you paid to Epoch Manna for the specific service giving rise to the claim during the 12 months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US $100).

Indemnification

You agree to defend, indemnify, and hold harmless Epoch Manna and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your Inputs;
  • your misuse of the services;
  • your violation of these Terms;
  • your violation of applicable law or the rights of another person or entity.

Service Changes and Availability

We may modify, suspend, discontinue, or update any part of the website or services at any time, with or without notice, including features, workflows, pricing, product names, availability, and access terms.

We are not liable for any modification, suspension, or discontinuation of the services, except as may be required by a separate written agreement or by law.

Confidentiality and Enterprise Engagements

Certain pilots, enterprise services, advisory work, or implementation support may involve separate confidentiality, access, security, data-handling, deployment obligations, or termination terms. Those obligations may be governed by separate agreements, NDAs, statements of work, pilot terms, order forms, or MSAs and will supplement these Terms where applicable.

Binding Arbitration and Class Action Waiver

Please read this section carefully. Except for limited disputes described below, you and Epoch Manna agree to resolve disputes through final and binding arbitration on an individual basis, and not in court.

By agreeing to arbitration, both you and Epoch Manna waive the right to sue in court, to have a trial by judge or jury, and to participate in a class action, collective action, private attorney general action, or other representative proceeding, except to the extent such waiver is prohibited by applicable law.

Except for disputes that qualify for small claims court, claims involving intellectual property infringement or misappropriation, requests for injunctive or equitable relief related to unauthorized use, or disputes that a court determines cannot lawfully be arbitrated, any dispute, claim, or controversy arising out of or relating to these Terms or the services will be resolved by final and binding arbitration on an individual basis.

The arbitration will be administered by a neutral arbitration provider under its applicable consumer or commercial rules, as appropriate to the dispute, except as modified by these Terms.

The arbitrator shall have exclusive authority to resolve disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration provision, except that a court of competent jurisdiction may determine issues concerning the enforceability of the class action waiver.

Arbitration may be conducted by document submission, remote proceeding, in person, or another reasonably appropriate method, consistent with the applicable rules and the nature of the dispute.

If for any reason a dispute is not subject to arbitration, then the exclusive venue for any such proceeding shall be the state or federal courts serving Franklin County, Texas, and each party consents to the personal jurisdiction of those courts.

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles, except to the extent superseded by applicable federal law.

Force Majeure

Epoch Manna will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, internet or utility failures, labor disputes, governmental actions, war, terrorism, epidemics, natural disasters, vendor failures, infrastructure outages, or similar events.

Product-Specific Terms

Website and Informational Pages

Public-facing pages, doctrine pages, standards pages, and related informational content are provided for general informational and brand communication purposes. Access to such content does not create an advisory, fiduciary, professional, or confidential relationship unless explicitly agreed in writing.

EpochSpecs

EpochSpecs is intended to help transform user-submitted ideas, requirements, and related information into structured, development-ready specification outputs. EpochSpecs does not provide legal advice, engineering certification, production guarantees, or compliance approval.

EpochSpecs outputs are intended to support clarity, alignment, planning, and structured execution. Users remain responsible for validating requirements, architecture, compliance, security, delivery assumptions, and final implementation decisions.

Access to EpochSpecs may be subscription-gated. We may verify access by email, subscription state, account state, or related service controls.

Epoch Fulcrum

Fulcrum is intended for governed intelligence use in mortgage and related high-stakes environments. Fulcrum is not a substitute for legal advice, regulatory advice, compliance certification, underwriting authority, licensing authority, or formal approval or denial decisions unless expressly stated in a separate written agreement.

Fulcrum may be subject to separate enterprise, pilot, access, confidentiality, implementation, or termination terms. Where those apply, they supplement these Terms.

Intelligence Briefings

Intelligence Briefings, market commentary, and related publications are provided for informational and editorial purposes. They may include analysis, interpretation, synthesis, or opinion and should not be treated as legal, investment, accounting, underwriting, or regulatory advice.

Changes to These Terms

We may update these Terms from time to time to reflect legal, operational, technical, or product changes. When we do, we will update the Last Updated date above. Your continued use of the services after the updated Terms take effect constitutes your acceptance of the revised Terms, unless applicable law requires additional notice or consent.
